Wyoming Withdrawal of Certificate is a document that is filed with the Wyoming Secretary of State to officially dissolve a Wyoming business. This document declares that the business has been dissolved and the business owners are no longer liable for the debts and obligations of the business. There are two types of Wyoming Withdrawal of Certificate: Voluntary Withdrawal and Mandatory Withdrawal. A Voluntary Withdrawal can be filed when a business is no longer operating and the owners wish to formally dissolve the business. A Mandatory Withdrawal is required when a business fails to meet certain requirements as outlined in the Wyoming Business Corporation Act.
