The Wyoming Withdrawal of Certificate is a process for companies to terminate their existence in the state of Wyoming. It is also known as a Certificate of Cancellation or a Certificate of Dissolution. There are two types of Wyoming Withdrawal of Certificate: Voluntary Withdrawal and Administrative Withdrawal. Voluntary Withdrawal is used when a company is voluntarily terminating its existence in the state of Wyoming. The company must submit a completed Certificate of Cancellation form to the Secretary of State’s office along with a filing fee. The Certificate of Cancellation must include the company’s name, registered agent, and date of formation. Administrative Withdrawal is used when the Secretary of State’s office has determined that a company is no longer in compliance with Wyoming statutes. This could be due to unpaid fees, failure to file an annual report, or any other reason. The company may be notified of the Secretary of State’s intent to administratively withdraw their certificate and given an opportunity to remedy the issue. If the company fails to do so, the Secretary of State will administratively revoke their certificate. When a Certificate of Cancellation or Certificate of Dissolution is filed, the company will no longer be able to conduct business in Wyoming or maintain any property in the state. All liabilities and obligations of the company will remain in effect.
