Withdrawal of Certificate Wyoming Withdrawal of Certificate is a document filed with the Wyoming Secretary of State that terminates a foreign corporation's authority to do business in the state. The corporation must file the withdrawal when it no longer wishes to conduct business in Wyoming or when it is dissolving. There are three types of Wyoming Withdrawal of Certificate: Voluntary Withdrawal, Revocation of Certificate and Administrative Dissolution. With a Voluntary Withdrawal, a foreign corporation can file a withdrawal notice and all the requirements of the state must be met. For a Revocation of Certificate, the corporation has violated the Wyoming Corporation Code and the Secretary of State will revoke the certificate. For an Administrative Dissolution, the Secretary of State can administratively dissolve a corporation if the foreign corporation fails to file an annual report or pay the annual fee.
