The Utah Statement of Termination (LLC) is a document used to legally dissolve a Limited Liability Company (LLC) registered in the state of Utah. The document is filed with the Utah Division of Corporations and Commercial Code and officially terminates the LLC's existence and its authority to conduct business in Utah. There are two types of Utah Statement of Termination (LLC): the Voluntary Termination and the Involuntary Termination. The Voluntary Termination is filed when the owners of the LLC unanimously agree to dissolve the business. The Involuntary Termination is filed when the LLC is involuntarily dissolved due to failure to file the annual report or pay the annual fee. The document must include the name of the LLC, the LLC's filing ID number, the date of dissolution, the signature of the manager or authorized representative of the LLC, and the current mailing address of the LLC.
