The New York Certificate of Termination of Existence Cover Page (LLC) is a document that is filed with the New York Department of State when a New York limited liability company (LLC) is voluntarily dissolved. It is used to formally dissolve the LLC and to terminate the company's corporate existence in New York. The cover page must include the LLC's name, date of formation, and the name and address of each known member of the LLC. There are two types of New York Certificate of Termination of Existence Cover Page (LLC): the Standard Certificate of Termination and the Certificate of Termination with a Statement Pursuant to Section 306(b) of the Limited Liability Company Law.
