Utah Certificate of Organization (Professional Services LLC) is the official document issued by the Utah Division of Corporations and Commercial Code that legally creates a professional services limited liability company (LLC) in the state of Utah. This document is also known as the Articles of Organization and must be filed with the Division to certify the formation of the LLC. The Certificate of Organization includes essential information such as the name of the LLC, its purpose, registered agent, and address. It also establishes the members of the LLC, the management structure, and the LLC’s registered office and mailing address. There are two types of Utah Certificate of Organization (Professional Services LLC): Series LLC and Non-Series LLC. The Series LLC is a special form of LLC that allows for the formation of separate divisions or “series” within the same LLC. The Non-Series LLC is the traditional form of LLC and is the most common type of LLC.
