A Utah Certificate of Organization (LLC) is an official document issued by the Utah Division of Corporations & Commercial Code that establishes a limited liability company (LLC) in the state of Utah. It is required for businesses to operate legally and to be recognized as an LLC in the state. There are two types of Utah Certificate of Organization (LLC): domestic and foreign. A domestic LLC is one that is organized in Utah and registered with the state, while a foreign LLC is one that is registered in another state and registered to do business in Utah. The Certificate of Organization must include the LLC's name, principal address, registered agent, and the name of the organizer. It must also include the purpose of the LLC, the duration of the LLC, the number of members, the information about the LLC's management, and the amount of capital contribution required. Once the Certificate of Organization is filed with the Division of Corporations & Commercial Code, the LLC is legally recognized in the state.
