A New York Certificate of Amendment (Foreign Corporation) is a legal document issued by the New York Department of State. This certificate is used to make changes to the articles of incorporation, such as the name of the corporation, its purpose, or its capital structure. The Certificate of Amendment must be signed and filed with the New York Department of State to become effective. There are two types of New York Certificate of Amendment (Foreign Corporation): one for Domestic Corporations and another for Foreign Corporations. The Certificate of Amendment for Foreign Corporations must include the name of the foreign corporation, the jurisdiction where it was incorporated, the date of its incorporation, the date of the amendment, the amendment to be made, the name and address of the registered agent, and the signature of the secretary or other officer of the foreign corporation.
