The New Jersey Certificate of Dissolution Without A Meeting of Shareholders (For Use By Domestic Profit Corporations) is a document that must be filed with the New Jersey Division of Revenue in order to dissolve a domestic profit corporation. This document can be used when the shareholders of the corporation agree to voluntarily dissolve the company without the need for a meeting. The document must be signed by a director or officer of the corporation and include the corporate name, the date of dissolution, the purpose of dissolution, the names and addresses of the directors or officers, and the signatures of the officers or directors. There are two types of New Jersey Certificate of Dissolution Without A Meeting of Shareholders (For Use By Domestic Profit Corporations): Form NJ-REG-10, and Form NJ-REG-11.
