Accord and satisfaction is an informal method of dispute resolution. An "accord and satisfaction" is merely an assertion that a dispute has been settled and that full performance under the settlement agreement has been made. It usually presupposes the existence of a prior contract and a legitimate dispute over the amount owed. Accord and satisfaction is generally governed by state law. For there to be a valid accord and satisfaction of a debt or claim, there must be: (i) a disputed claim; (ii) a tender of a check for less than the amount of the claim by the debtor, and (iii) an acceptance of the tender by the creditor. It is absolutely essential that the creditor understand that the partial payment is being offered to satisfy the debt in its entirety.
