A Texas Certificate of Amendment is a document used by the state of Texas to alter the terms of an existing corporate entity, such as a limited liability company (LLC), corporation, or partnership. It is filed with the Texas Secretary of State and must be approved before it can take effect. There are three different types of Texas Certificate of Amendment: Certificate of Amendment to the Articles of Incorporation, Certificate of Amendment to the Certificate of Formation, and Certificate of Amendment to the Partnership Agreement. Each certificate must include specific information about the changes being made to the original entity. The certificate must also be signed by an individual authorized to act on behalf of the business entity. Once filed, the amendment will become legally binding.
