The Tennessee Statement of Partnership Authority is a document that is filed with the Tennessee Secretary of State in order to register a partnership in the state. This document outlines the name of the partnership, its purpose, the amount of contribution each partner is making, and the management structure. It also specifies the rights, obligations, and liabilities of the partners as well as the duration of the partnership. There are two types of Tennessee Statement of Partnership Authority: the Certificate of Limited Partnership and the Statement of General Partnership. The Certificate of Limited Partnership is used when two or more people are forming a business as a limited liability company (LLC). The Statement of General Partnership is used for all other types of partnerships, such as general partnerships, limited partnerships, and limited liability partnerships (Laps).
