The Pennsylvania Uniform Application to Register Securities (PURE) is a form used to register securities in the state of Pennsylvania. It must be completed and filed with the Pennsylvania Department of State (DOS) in order to legally offer securities for sale in the state. The form provides the DOS with information about the securities being sold, the company issuing the securities, and the securities broker/dealer managing the offering. The PURE form is available in two versions: the short form and the long form. The short form is used for securities that are registered with the Securities and Exchange Commission (SEC) and are subject to the federal Securities Act of 1933. The long form is used for securities that are not registered with the SEC and are subject to the Pennsylvania Securities Act of 1972. The PURE form must be accompanied by certain documents, such as a prospectus or private placement memorandum, as well as any other information required by the DOS. Once the form and accompanying documents are submitted to the DOS, they will review the information and determine if the security can be legally offered in Pennsylvania.
