Certificate of Resignation For Receipt of Process (Foreign LLP) The New York Certificate of Resignation For Receipt of Process (Foreign LLP) is a document used by a foreign LLP to designate a process agent for the purpose of accepting service of process from the state of New York. The document must be filed with the New York Department of State and must include the name and address of the foreign LLP, the name and address of the process agent, and a statement that the process agent is authorized to accept service of process on behalf of the foreign LLP. There are two types of New York Certificate of Resignation For Receipt of Process (Foreign LLP): Initial Certificate and Renewal Certificate. An Initial Certificate must be filed when a foreign LLP is initially formed in New York, and a Renewal Certificate must be filed annually to keep the process agent designation in effect.
