New Mexico Merger — Limited Liability Company (LLC) is an entity created by filing Articles of Organization with the New Mexico Public Regulation Commission. It is a legal business structure that combines the limited liability of a corporation with the flexibility of a partnership or sole proprietorship. This type of business structure allows the owners (members) to be taxed as a partnership or sole proprietorship while still enjoying the limited liability protection of a corporation. There are two types of New Mexico LLC Mergers: a Domestic Merger and a Foreign Merger. A Domestic Merger is a merger between two existing LCS that are both organized under the laws of New Mexico. A Foreign Merger is a merger between an LLC organized under the laws of New Mexico and an LLC organized under the laws of another state.
