Articles of Dissolution (Florida Profit Corporation) is a document that is filed with the Florida Department of State to formally dissolve a Florida Profit Corporation. This document is required by law in order to officially close a business entity. The document includes the name of the corporation, date of filing, and the signature of the authorized agent. It must also include a statement that the directors have approved the dissolution of the corporation and all debts and liabilities have been paid. There are two types of Articles of Dissolution (Florida Profit Corporation): Voluntary and Administrative Dissolution. A Voluntary Dissolution occurs when the shareholders vote to dissolve the corporation voluntarily. An Administrative Dissolution is initiated by the Florida Department of State when a corporation does not comply with certain legal requirements.
