A Delaware Certificate of Conversion From Statutory Trust To Limited Partnership (also known as a Statutory Trust Conversion) is a document that is filed with the Delaware Secretary of State to convert a Delaware statutory trust into a Delaware limited partnership. This document is used to formalize the transaction as a way to ensure that all the partners are in agreement and the conversion is properly documented. The Certificate of Conversion must include the names of the statutory trust and the limited partnership, the date of conversion, the names of the partners, the name of the registered agent, and the address of the registered office. There are two types of Delaware Certificate of Conversion From Statutory Trust To Limited Partnership: the Form STC and the Form LPC. The Form STC is used for the conversion of a Delaware statutory trust into a Delaware limited partnership, while the Form LPC is used for the conversion of a Delaware limited liability company into a Delaware limited partnership.
