Alaska Notification of Consolidation (Foreign LLC) is a process used to combine two or more existing foreign LCS into a single LLC. This consolidation can be done in one of two ways: by creating a new LLC or by merging two or more existing LCS. The process requires that the LCS provide notification to the Alaska Division of Corporations, Business and Professional Licensing (DICED) and to the Secretary of State. Depending on the type of consolidation, different documents must be filed. There are two types of Alaska Notification of Consolidation (Foreign LLC): 1) Creation of a New LLC: This type of consolidation requires filing a Certificate of Consolidation with the DICED, along with a new LLC Certificate of Formation. 2) Merger of Existing LCS: This type of consolidation requires filing a Certificate of Merger with the DICED, along with any necessary amendments to the existing LCS' Certificates of Formation.
