Description

A factor is a person who sells goods for a commission. A factor takes possession of goods of another and usually sells them in his/her own name. A factor differs from a broker in that a broker normally doesn't take possession of the goods. A factor may be a financier who lends money in return for an assignment of accounts receivable (A/R) or other security.

Many times factoring is used when a manufacturing company has a large A/R on the books that would represent the entire profits for the company for the year. That particular A/R might not get paid prior to year end from a client that has no money. That means the manufacturing company will have no profit for the year unless they can figure out a way to collect the A/R.

FAQ

If you are assigning a contract, your original contract with the seller will need to state that it is assignable. Most wholesalers do this by stating that the buyer is your name and/or assigns. You would then sign an assignment of contract with the buyer.

Usually, contractual provisions that restrict assignment of the contract without the consent of the obligor are valid and enforceable, even when there is statutory authorization for the assignment. The restriction of the power to assign is often ineffective unless the restriction is expressly and precisely stated.

The assignor must agree to assign their rights and duties under the contract to the assignee. The assignee must agree to accept, or "assume," those contractual rights and duties. The other party to the initial contract must consent to the transfer of rights and obligations to the assignee.

Can a contract be assigned without consent? If the contract is silent on whether or not the benefit of the agreement can be assigned, then in principle, assignment can take place without the other contracted party's consent.

As a general rule, then, contracts interpreted under California law may be assigned; however, to be effective, there must be evidence that the assignor (the party assigning the contract) intended to transfer the assignor's title or ownership of the rights and obligations under the contract to the assignee (the party ...

A Contract Transfer is a way a contract can be legally transferred from one person to another. It can only be granted to a person eligible to succeed the contract and can only be completed once.

Assignment of contract is when one party within a contract assigns the rights and/or obligations of that contract to another party outside of it. The party who is assigning the contract is known as the assignor and the party receiving the rights and responsibilities of the contract is the assignee.

The initial contract must provide for the possibility of assignment by one of the initial contracting parties. The assignor must agree to assign their rights and duties under the contract to the assignee. The assignee must agree to accept, or "assume," those contractual rights and duties.

The absence of an assignment clause in an agreement would often mean that a party is allowed to assign its benefit under the contract without the consent of the other party. Where assignment clauses require consent of the other party, this consent should not be unreasonably withheld.
