This Non-Disclosure Agreement was prepared for use specifically between the Respondent, Discloser/Seller and the Discloser/Seller's subsidary, namely, a Public Authority or even a Special Purpose Vehicle (SPV) as it relates to Proprietary Information, Confidential Information, including, but not limited to, financial data, proposed projects, existing projects, locations of any such projects, business strategies, inventions, patents, ideas, concepts, and more individually named in the agreement. This Confidentiality Agreement provdes a clause addressing the requirements of the state's Freedom of Information Law ("FOIL"), and the Agreement is compliant with state and federal law.
