A Wyoming Certificate of Authority (COA) is a document issued by the Secretary of State of Wyoming that authorizes a business to conduct activities in the state. It is required for businesses that wish to transact business in Wyoming or maintain a presence in the state. There are three types of Wyoming COA: Domestic Corporations, Foreign Corporations, and Limited Liability Companies (LCS). A Domestic Corporation COA allows a corporation to conduct business in Wyoming. A Foreign Corporation COA allows a corporation incorporated in another state to conduct business in Wyoming. A Limited Liability Company COA allows an LLC to conduct business in Wyoming. All COA applications must include the name of the entity, the filing fee, a registered agent name and address, and other information as required by the Secretary of State.
