A Wyoming Certificate of Authority is a document issued by the Wyoming Secretary of State that allows a foreign business to conduct activities in the state. The Certificate of Authority is the first step in registering a foreign (out-of-state) business in Wyoming and is required to do business in the state. The Certificate of Authority grants a business the right to conduct activities such as opening and maintaining a bank account, entering into contracts, and conducting business in Wyoming. There are three types of Wyoming Certificate of Authority: 1) Certificate of Authority for a Corporation: This document is issued to a foreign corporation and allows it to do business in the state. 2) Certificate of Authority for a Limited Liability Company: This document is issued to a foreign limited liability company and allows it to do business in the state. 3) Certificate of Authority for a Limited Partnership: This document is issued to a foreign limited partnership and allows it to do business in the state.
