An Independent Contractor Agreement is a legal document between a company and an independent contractor outlining the terms of the working relationship. It sets out the contractor’s scope of work, payment terms, confidentiality and non-disclosure provisions, as well as any other relevant conditions. The agreement may also include clauses for termination and dispute resolution. There are several types of Independent Contractor Agreements, including Fixed Price Agreements, Time and Materials Agreements, and Cost Reimbursable Agreements. Fixed Price Agreements are based on a lump sum payment for a set scope of work. Time and Materials Agreements are based on an hourly rate plus the cost of materials. Cost Reimbursable Agreements are based on the actual costs incurred by the contractor.
