A Tennessee Amendment to Limited Partnership Certificate (also known as a Certificate of Amendment) is a legal document filed with the Secretary of State of Tennessee to formally modify the existing terms of an existing Limited Partnership Certificate. The amendment allows the Partnership to update the Certificate to reflect any changes to the partnership’s structure, such as the addition or deletion of a partner, the change of the partnership's name, or the addition of a new business purpose. The Amendment must be signed by all partners in the partnership and must be accompanied by the associated filing fee. There are two primary types of Tennessee Amendment to Limited Partnership Certificate: a Certificate of Amendment of Existing Certificate and a Certificate of Amendment of Restated Certificate.
