Rhode Island Restated Articles of Incorporation (Domestic Non Profit Corp) are documents filed with the Rhode Island Secretary of State that provide the name and purpose of the corporation, the number of shares of stock it is authorized to issue, the type of business it will engage in, and the names and addresses of its directors. The articles also provide the rules and regulations governing the internal affairs of the corporation and must be amended when there are changes in the governing documents. There are two types of Rhode Island Restated Articles of Incorporation (Domestic Non Profit Corp): Short Form, which is used by non-profits that do not have members, and Long Form, which is used by non-profits with members. Both forms must be signed by the incorporated(s) and filed with the Rhode Island Secretary of State.
