A Certificate of Merger or Consolidation (Foreign corporation into Oklahoma corporation) is a document filed with the Oklahoma Secretary of State to provide proof of the merger or consolidation of a foreign corporation into an Oklahoma corporation. This Certificate must include the name of the foreign corporation, the name of the Oklahoma corporation, the date of the merger or consolidation, and the jurisdiction in which the foreign corporation was incorporated. It must also include any amendments to the articles of incorporation of the Oklahoma corporation that were made as part of the merger or consolidation, as well as the signatures of the appropriate officers or directors of the foreign and Oklahoma corporations. There are two types of Certificate of Merger or Consolidation (Foreign corporation into Oklahoma corporation): the Statutory Merger Certificate and the Statutory Consolidation Certificate. The Statutory Merger Certificate is used when one corporation is merging into another, while the Statutory Consolidation Certificate is used when two or more corporations are merging into a single corporation.
