This document is filed with the New York Department of State and must include the name, address, and registration number of the foreign corporation, as well as the name and address of the proposed resigning registered agent. Depending on the type of foreign corporation, there are two types of New York Certificate of Resignation of Registered Agent (Foreign Corporation): General Business Corporation and Not-for-Profit Corporation. Both forms must be signed and dated by a duly authorized officer of the corporation and filed with the New York Department of State. Upon approval, the resignation of the registered agent is final and the foreign corporation must appoint a new registered agent to maintain its good standing within the state.
