Minnesota Intent To Dissolve is a document used to formally dissolve a business entity in the state of Minnesota. It is required to be filed with the Minnesota Secretary of State’s office in order to legally dissolve an entity. There are three types of Minnesota Intent To Dissolve documents: (1) Articles of Dissolution for Corporations; (2) Certificate of Assumed Name Termination for Assumed Name Entities; and (3) Articles of Dissolution for Limited Liability Companies (LCS). All three documents contain information about the business entity, such as its name, date of formation, and the name and address of the registered agent. The document must be signed and notarized before it can be filed with the Secretary of State. Once the document is filed, the entity will be officially dissolved and no longer legally exist in the state of Minnesota.
