Maine Articles of Charter Surrender Upon Domestication are legal documents that must be filed with the Maine Secretary of State in order to surrender the charter of an existing business entity and domesticate it as a Maine business entity. The Articles of Charter Surrender must include the name of the existing business entity, the jurisdiction where the entity was formed, the type of entity it is, the date of its formation, its registered agent and office address in Maine, and the name of the entity that will be formed upon domestication. In addition, the Articles must be executed by the officers or designated representatives of the existing business entity and accompanied by a Certificate of Good Standing from the jurisdiction in which the entity was initially formed. There are two types of Maine Articles of Charter Surrender Upon Domestication: Articles of Charter Surrender Upon Domestication of a Foreign Entity, and Articles of Charter Surrender Upon Domestication of an Out-of-State Domestic Entity.
