A Delaware Corporate Certificate Cover Memo is a document that covers the basic information about a corporation or LLC that has been formed in the state of Delaware. This document includes the name of the corporation or LLC, its purpose, the name and address of the registered agent, and the names of the officers and directors. It is typically signed by one or more of the corporation’s officers or directors. There are two primary types of Delaware Corporate Certificate Cover Memo: a Certificate of Incorporation and a Certificate of Formation. The Certificate of Incorporation is used to form a corporation and the Certificate of Formation is used to form an LLC. Both of these documents are filed with the Delaware Secretary of State.
