Alaska Notification of Merger for Foreign Limited Liability Company is a document that must be filed with the Alaska Department of Commerce, Community and Economic Development in order to legally merge a foreign limited liability company (LLC) in Alaska. The Notification of Merger must include information such as the name and jurisdiction of formation of the merging LLC, the name and jurisdiction of formation of the surviving LLC, the effective date of the merger, and the details of the merger agreement. The Notification of Merger must also include the signature of a duly authorized representative of the merging LLC and the surviving LLC. There are two types of Alaska Notification of Merger for Foreign Limited Liability Company: (1) Merger Without Dissolution, and (2) Merger With Dissolution. In a Merger Without Dissolution, the foreign LLC that is merging into the surviving LLC will not be dissolved and will continue to exist as a foreign LLC. In a Merger With Dissolution, the foreign LLC that is merging into the surviving LLC will be dissolved and will cease to exist as a foreign LLC.
