FAQ

If the quorum is not present within half an hour of the time set for the meeting to begin, then the following options will be applicable: The meeting will be adjourned, and it shall be held on the same day and at the same time next week, or any other date and time as the Board may determine.

No quorum means no business can be conducted (no motions can be passed!) Reading of minutes may be waived (thank goodness!!)

If no quorum is present, the meeting can still be conducted however, the business will need to be held over until later when a quorum is present. Without a quorum, no business can be conducted.

Corporate meeting minutes typically include: The meeting's date, time and location. A list of attendees and absentees, including any present board members or officers. Agenda items. Summaries of all discussion points. Details of all activities completed or agreed upon. Results of any votes or motions.

As the lone attendee you must document the date, time and location of the meeting. You must also list the discussion items, summarize the key points and document the decisions made. You must note all the positions in attendance, even if you occupy all of them.

This document needs to be signed by: or another person who is authorized to take minutes and/or record official corporate action. There is no requirement that the signature be witnessed or notarized.

Many boards struggle with getting quorum at directors meetings and at annual general meetings. So, here are what I think are four key questions. In order for attendees to conduct business on behalf of a larger group, a quorum is required. A board meeting quorum is the minimum number of board members that must be present for a board meeting to be considered valid. The secretary should confirm in the minutes that any quorum (required number of shareholders present) was met and record the names of those in attendance. If there is no quorum, the board chair should set a new date for the meeting and then thank and release those members who are present.
