The Wisconsin Restated Certificate of Limited Partnership (also known as Form LP-2) is a legal document used to update the registered information of a limited partnership (LP) with the Wisconsin Department of Financial Institutions. It is filed when a limited partnership undergoes a change in management, needs to update its registered address, or if new partners are added. There are two types of Wisconsin Restated Certificates of Limited Partnership: 1. Restated Certificate of Limited Partnership — Amended and Restated (Form LP-2A): Used to update an existing limited partnership’s information, such as its registered address or new partners. 2. Restated Certificate of Limited Partnership — New (Form LP-2N): Used when a limited partnership needs to be formed with entirely new information. Both forms must be signed by at least one partner and filed with the Wisconsin Department of Financial Institutions.
