Washington Articles of Dissolution are a legal document that is required to be filed with the Washington Secretary of State in order to legally dissolve a corporation or limited liability company (LLC). The Articles of Dissolution must include the name of the business, the date of dissolution, the registered agent’s name and address, the signatures of the president, secretary, and/or other officers, and a statement of dissolution. Depending on the type of business, there are two types of Washington Articles of Dissolution. The first type is for corporations, which requires the filing of a For-Profit Corporation Articles of Dissolution. The second type is for LCS, which requires the filing of a Limited Liability Company Articles of Dissolution. Both types of Articles of Dissolution must be signed by an officer of the business and must be accompanied by the applicable filing fee.
