Washington Vital Stats/Certificate of Dissolution is a set of documents issued by the Secretary of State of Washington in order to dissolve a business entity within the state. There are three types of Vital Stats/Certificate of Dissolution: Certificate of Dissolution of a Corporation, Certificate of Dissolution of a Limited Liability Company (LLC), and Certificate of Dissolution of a Limited Partnership (LP). These documents must be filed with the Secretary of State to officially dissolve a business entity in the state of Washington. The Certificate of Dissolution must include the company name, date of dissolution, the signature of a company officer, and the fee required to file the document. In some cases, additional documents may be required as well. Once the Certificate of Dissolution is filed, the business entity will no longer legally exist in the state of Washington.
