Utah Withdrawal of Registration of a Foreign Company is a process by which a foreign company registered to do business in Utah withdraws its registration with the Utah Division of Corporations and Commercial Code. This withdrawal of registration is used when a foreign company no longer wishes to conduct business in the state and has chosen to dissolve its business in Utah. There are two types of Utah Withdrawal of Registration of a Foreign Company: voluntary and involuntary. A voluntary withdrawal of registration is initiated by the foreign company itself, and an involuntary withdrawal of registration occurs when the Division of Corporations and Commercial Code terminates the foreign company’s registration due to noncompliance with the Utah Business Corporation Act or other applicable laws. In both cases, the foreign company must submit a completed withdrawal form and pay the required fees. Once the form is processed, the foreign company’s name will be removed from the Utah Division of Corporations and Commercial Code’s database, and the company will no longer be allowed to conduct business in the state.
