A Utah Foreign Registration Statement (Foreign LLC) is a legal document that must be filed with the Utah Division of Corporations and Commercial Code in order to register a foreign limited liability company (LLC) in the State of Utah. This document is also known as Form F-1, and it must be accompanied by a filing fee of $70. The Foreign LLC must provide information regarding its purpose, address, registered agent, members, and managers. The filing of this statement grants a foreign LLC the authority to transact business in the State of Utah. There are two types of Utah Foreign Registration Statement (Foreign LLC). The first type is the standard statement, which applies to most foreign LCS registering in Utah and requires the filing of Form F-1 with the Division of Corporations and Commercial Code. The second type is the streamlined statement, which applies to foreign LCS that have already registered with the Secretary of State in their home state. With this type of registration, the foreign LLC must file Form F-2 with the Division of Corporations and Commercial Code, and the filing fee is reduced to $20.
