Nevada Amendment of Articles of Organization Before Issuance of Member Interest(NRS86.216) is a process that allows a limited liability company (LLC) in the state of Nevada to make changes to its articles of organization prior to the issuance of member interests. This process is available when the LLC has not yet issued any interests and is still in the formation stage. It is important to note that any amendments made must be in compliance with Nevada's LLC laws. There are two types of Nevada Amendment of Articles of Organization Before Issuance of Member Interest(NRS86.216): (1) Amendment of Articles of Organization; and (2) Amendment of Certificate of Formation. The Amendment of Articles of Organization allows the LLC to make changes to its name, duration, address, members, and management structure prior to the issuance of member interests. The Amendment of Certificate of Formation allows the LLC to make changes such as the filing of a new Certificate of Formation and the filing of a new Statement of Authority. To file an Amendment of Articles of Organization or Amendment of Certificate of Formation, the LLC must complete the appropriate forms and submit them to the Nevada Secretary of State.
