A Minnesota Limited Liability Partnership (LLP) Statement of Qualification is an official document filed with the Minnesota Secretary of State to register a Minnesota LLP. The Statement of Qualification includes the LLP’s name, name and address of the registered agent in Minnesota, principal office address, and the names and addresses of all limited liability partners. The Statement of Qualification must be signed and notarized by a partner. The two types of Minnesota Limited Liability Partnership Statement of Qualifications are a New LLP Statement of Qualification and a Foreign LLP Statement of Qualification. A New LLP Statement of Qualification is used to register a Minnesota LLP that is newly formed. A Foreign LLP Statement of Qualification is used to register a Minnesota LLP that is formed in another state and wants to do business in Minnesota.
