A Maine Restated Certificate of Limited Liability Partnership (RCMP) is a legal document used to register a limited liability partnership (LLP) with the Maine Secretary of State. An LLP is a business structure in which partners have limited personal liability for the debts and obligations of the business. The RCMP is used to update the existing information of the LLP, such as the name, address, and registered agent. There are two types of Maine Restated Certificates of Limited Liability Partnership: a Single Member LLC LP and a Multi Member LLC LP. A Single Member LLC LP is used to register a single partner LLP, while a Multi Member LLC LP is used to register an LLP with multiple partners. The RCMP must be signed by all partners, and filed with the Maine Secretary of State along with the required filing fee.
