Maine Articles of Dissolution, also known as a Certificate of Dissolution, is a document filed with the Maine Secretary of State when a business entity in the state decides to end its operations and dissolve. The document is required by the Maine Corporations Code and outlines the dissolution of the business entity, including its name, date of formation, and date of dissolution. There are two types of Maine Articles of Dissolution: (1) Voluntary Dissolution, which is filed when the business entity has decided to dissolve on its own; and (2) Administrative Dissolution, which is filed when the business entity is dissolved due to failure to comply with state laws and regulations. Both types of Maine Article of Dissolution must be signed by the company's officers or members and must be accompanied by a filing fee.
