Kentucky Cancellation of Statement of Qualification (Limited Liability Partnership) is a legal document filed with the Kentucky Secretary of State. It is used to dissolve the limitations on the liability of the partners of a limited liability partnership (LLP). It is also used to terminate the registration of the LLP in the state of Kentucky. There are two types of Kentucky Cancellation of Statement of Qualification (Limited Liability Partnership): Voluntary Cancellation and Administrative Cancellation. Voluntary Cancellation is filed by the partners of the LLP and requires the LLP to pay all debts and liabilities before the cancellation is effective. Administrative Cancellation is filed by the Kentucky Secretary of State when the LLP fails to pay its annual registration fees or comply with other requirements of the state. The LLP must also pay all debts and liabilities before the cancellation is effective.
