Iowa Certificate of Amendment or Restatement [488.202] is a document used to make changes to a corporation's articles of incorporation in the state of Iowa. This document can be used to amend or restate the articles of incorporation, change the corporate name, change the corporate purpose, increase or decrease the authorized shares of stock, or make other changes to the articles. This document must be filed with the Iowa Secretary of State. There are two types of Iowa Certificate of Amendment or Restatement [488.202]: Certificate of Amendment and Certificate of Restatement. The Certificate of Amendment is used to update a corporation's articles of incorporation without rewriting them in their entirety. The Certificate of Restatement is used to completely rewrite the articles of incorporation.
