The Delaware Designation of Person for Receipt of Service of Process, also known as a (D1), is a document required by the Delaware Secretary of State when forming a Delaware LLC or incorporating a Delaware corporation. This document identifies a person who is authorized to receive service of process on behalf of the company. Service of process is the legal term for receiving legal documents such as court summons, subpoenas, and other official notifications related to lawsuits, government inquiries, and other legal matters. There are two types of Delaware Designation of Person for Receipt of Service of Process (D1): the Resident Agent Designation and the Non-Resident Agent Designation. The Resident Agent Designation names an individual resident of Delaware who is authorized to receive service of process on behalf of the company. The Non-Resident Agent Designation names an individual or entity who is not a resident of Delaware but is authorized to receive service of process on behalf of the company. Both designations must include the name, address, and signature of the person or entity named as the designated agent.
