A Delaware Statement of Cancellation of Limited Liability Limited Partnership (LL LP) is a legal document filed with the Delaware Secretary of State that terminates the existence of a limited partnership. This document must be signed by all the partners of the LL LP, and must include the name of the LL LP, the effective date of the cancellation, and information about the registered agent. There are two types of Delaware Statement of Cancellation of Limited Liability Limited Partnership: 1) a voluntary cancellation when the partners decide to end the LL LP and 2) an involuntary cancellation when the LL LP is terminated due to legal or administrative reasons. Once the Statement of Cancellation is filed with the Secretary of State, the LL LP will be officially dissolved and its assets and liabilities will be distributed as specified in the partnership agreement.
