(hereinafter referred to as "SBM") and NBC Site Media, Inc. (hereinafter referred to as "NBC") regarding the licensing of content in the state of Alabama. General Terms and Conditions: a. Effective Date: The agreement is effective from the date of signing by both parties. b. Grant of License: SBM hereby grants NBC a non-exclusive, revocable license to use the content as specified in the attached exhibits. c. Territory: This agreement pertains specifically to the state of Alabama. d. Rights and Restrictions: NBC agrees to strictly adhere to the restrictions outlined in the respective attachment(s) for each type of content. e. Payment Terms: The financial terms, including payment schedule and royalty rates, are detailed in a separate attachment. f. Term and Termination: The initial term of this agreement, as well as provisions for termination and renewal, are specified in a separate attachment. 2. Attachments: a. Attachment 1 — Broadcast Content: This attachment outlines the terms and conditions for licensing television broadcast content, including but not limited to news segments, documentaries, TV shows, and live events. It covers topics such as content delivery, exclusivity, scheduling, and clearance rights. b. Attachment 2 — Digital Content: This attachment pertains to the licensing of digital media content, such as videos, podcasts, and online articles. It addresses platform-specific requirements, distribution channels, usage limitations, and performance metrics. c. Attachment 3 — Merchandising and Branding: This attachment focuses on licensing rights related to merchandise and branding opportunities. It encompasses marketing materials, merchandise production, commercial partnerships, and the usage of SBM and NBC trademarks. d. Attachment 4 — Intellectual Property: This attachment dives deeper into the protection of intellectual property rights, including copyrights, patents, and trademarks. It defines responsibilities regarding infringement, indemnification, and potential legal consequences. e. Attachment 5 — Confidentiality: This attachment outlines the obligations of both parties to maintain the confidentiality of any confidential information exchanged during the course of the agreement. It includes provisions on non-disclosure, exceptions, and remedies in case of a breach. f. Attachment 6 — Governing Law and Jurisdiction: This attachment establishes the governing law (Alabama) and jurisdiction for any legal disputes arising from this agreement, including provisions for mediation and arbitration. By signing below, both SBM and NBC acknowledge that they have read, understood, and agreed to the terms and conditions specified in this Alabama License Agreement and its attachments.
