Alabama Conversion of a Domestic Entity — Limited Liability Company, also known as a Domestic LLC Conversion, is a process by which a domestic Limited Liability Company (LLC) in the state of Alabama can be converted into another type of entity, usually a Corporation. This process is regulated by the Alabama Business Corporation Act. The two main types of Domestic LLC Conversions are Domestic LLC to Domestic Corporation Conversion and Domestic LLC to Domestic Limited Partnership Conversion. The process of conversion involves the preparation of the Articles of Conversion, filing the Articles with the Alabama Secretary of State, and filing a Certificate of Conversion with the county probate judge. The converting LLC must also hold a meeting of members prior to the conversion, and the members must approve the conversion. Upon completion of the conversion process, the former LLC is dissolved and the new entity is formed.
