A Certificate of Cancellation for Foreign Limited Partnership (CF CLP) is a document issued by the Alaska Department of Commerce, Community and Economic Development (DICED) that officially cancels a foreign limited partnership (FLP) registered in the state of Alaska. There are two types of CF CLP: A Certificate of Cancellation of a Limited Partnership (CCP) and a Certificate of Cancellation of a Foreign Limited Partnership (CFP). The CCP is used to cancel an FLP registered in Alaska, and to indicate that the FLP is dissolved and no longer exists. The CCP must include the name of the limited partnership, the state or country of the partnership's formation, the date of filing, the date of cancellation, and the signature of the registered agent. The CFP is used to cancel an FLP registered in Alaska and to indicate that the FLP is no longer registered in the state. The CFP must include the name of the limited partnership, the state or country of the partnership's formation, the date of filing, the date of cancellation, and the signature of the registered agent. Both certificates must be filed with the DICED in order for the FLP to be officially canceled.
