A Utah Foreign Registration Statement is a form required by the Utah Department of Commerce for any foreign entity that wants to transact business in the state. The Statement must be filed with the Department of Commerce before any foreign entity can conduct business in Utah, and must include the name and address of the foreign entity, the names and addresses of the officers and directors, the type of business or activity being conducted, and the names of any other states where the foreign entity is registered. There are two types of Utah Foreign Registration Statement: the Initial Statement and the Annual Report. The Initial Statement must be filed at the time of the foreign entity's formation or registration in Utah, while the Annual Report must be filed each year by April 30th.
