Description

The International Independent Contractor Agreement is a crucial legal document used to outline the terms between a contractor and a corporation. It establishes the ownership of deliverables, stipulates the place of work, and specifies the payment structure. This agreement allows the contractor to manage their time and work independently while ensuring that all deliverables are legally assigned to the corporation. Additionally, it includes warranties, compliance obligations, and conditions for termination. Target users include attorneys, partners, owners, associates, paralegals, and legal assistants, who will benefit from its provisions on liability, nondiscrimination, and compliance with laws like the Foreign Corrupt Practices Act. The agreement also addresses the corporation's rights to inspect work, the contractor’s responsibilities, and the procedures for arbitration in case of disputes. It is a comprehensive document that not only protects the corporation's interests but also clarifies the contractor's autonomy and responsibilities.
